1. Scope

1.1 These General Terms and Conditions (GTC) apply to all business relationships between Asofium GmbH, Feldbergstraße 44, 60323 Frankfurt am Main, and its customers, unless otherwise agreed.
1.2 The GTC refer to the following activities of the company:

• Wholesale and retail trade of new and used vehicles, including electric motorcycles, off-road vehicles and other 2, 3 or 4 wheel vehicles.

• Sale of minibuses, buses and vehicles for passenger transport.

• Wholesale and retail trade of car parts and accessories.

• Car rental without driver.

• vehicle leasing and financing.

• Establishment and management of a dealer network for vehicles and services.

• Maintenance and repair of vehicles, including warranty and post-warranty services.

• Consulting, training and financial advice in the area of vehicle purchasing and leasing programs.

• Organization of company events as well as test and demonstration drives.

• Insurance services for fleets and customers.

• Carrying out environmentally conscious activities such as vehicle recycling.

1.3 The Asofium GmbH website serves solely to provide information about the company's products and services. There is no online sale of vehicles or services.

2. Conclusion of contract

2.1 The information on products and services presented on the website does not constitute a legally binding offer.
2.2 Contracts for the purchase of vehicles, car parts or services are concluded exclusively on the basis of individual agreements and outside the website. This can be done by telephone, email or in personal discussions.

3. Prices and payment terms

3.1 All prices are net prices plus the applicable statutory VAT, unless otherwise stated.
3.2 Unless otherwise agreed, payment is due immediately without deduction. The payment methods are agreed individually in the contract (e.g. bank transfer, credit card, leasing). 3.3 In the event of late payment, Asofium GmbH is entitled to demand default interest of 9% above the base interest rate of the European Central Bank.

4. Delivery and provision of services

4.1 The delivery of vehicles and accessories takes place in accordance with the individual agreements made within the framework of the respective contract.
4.2 Services such as advice, repairs, maintenance or training are also provided on the basis of individual agreements. 4.3 The customer is obliged to check the goods for defects upon delivery and to report them immediately.

5. Right of withdrawal

5.1 If the customer is a consumer within the meaning of Section 13 of the German Civil Code (BGB), he or she has a statutory right of withdrawal.
5.2 There is no right of withdrawal for individually adapted vehicles or special custom-made products, unless otherwise agreed.

6. Warranty and Liability

6.1 The statutory warranty provisions apply to defects in delivered vehicles and goods.
6.2 At the customer's discretion, Asofium GmbH will either provide subsequent performance by remedying the defect or delivering defect-free goods. 6.3 The customer's claims for damages are excluded unless Asofium GmbH acts intentionally or with gross negligence. This exclusion of liability does not apply to damage caused by injury to life, body or health.

7. Retention of title

7.1 The goods remain the property of Asofium GmbH until full payment has been made.
7.2 In the event of late payment, Asofium GmbH may withdraw from the contract and demand the return of the goods.

8. Vehicle leasing and financing

8.1 When concluding a leasing or financing agreement, the individual leasing or financing conditions that are made available before the contract is concluded apply in addition to these General Terms and Conditions.
8.2 The customer is obliged to treat leased vehicles properly and have them serviced regularly.

9. Car rental

9.1 The car rental is carried out without a driver and in accordance with the rental conditions stipulated in the contract.
9.2 The customer is liable for any damage to the vehicle that occurs during the rental period, unless it is covered by appropriate insurance.

10. Events and training courses

10.1 Asofium GmbH organizes events, test drives and training courses for customers and partners. The scope of services is determined in individual agreements.
10.2 Cancellations by the customer must be made in writing. Cancellation fees are based on the agreed event conditions.

11. Insurance services

11.1 Asofium GmbH arranges insurance for its customers' fleets and vehicles. The specific insurance services are regulated in separate contracts.
11.2 Asofium GmbH assumes no liability for the fulfillment of the insurance contracts by the insurers.

12. Data Protection

12.1 Personal data is collected and processed in accordance with our privacy policy, which can be viewed on the website.
12.2 The customer agrees to the processing of his data within the framework of the business relationship.

13. Liability for content and links

13.1 The content on our website is for information purposes only and does not constitute any offers or assurances. Asofium GmbH assumes no liability for the topicality, correctness or completeness of the information provided.
13.2 Asofium GmbH assumes no liability for the content of external links. The operators of the linked pages are solely responsible for their content.

14. Final provisions

14.1 All contracts between Asofium GmbH and its customers are subject to the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
14.2 The place of jurisdiction for all disputes arising from contractual relationships with merchants, legal entities under public law or special funds under public law is Frankfurt am Main. 14.3 Should individual provisions of these General Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
